Welcome to Tickfills. These Terms of Service ("Terms") are a binding agreement between you and Tickfills LLC ("Tickfills," "we," "us," or "our") governing your access to and use of our website, web application, mobile application, and all related products and features — including trade replication, the Flow Feed, and Horizon automated strategies (together, the "Services"). By creating an account, making a purchase, or using any part of the Services, you agree to these Terms. If you do not agree, do not use the Services.
The Privacy Policy, Risk Disclosure, and Subscription & Billing terms are part of these Terms and are incorporated by reference.
PLEASE READ SECTION 22 CAREFULLY. IT REQUIRES THAT DISPUTES BE RESOLVED THROUGH BINDING INDIVIDUAL ARBITRATION AND INCLUDES A CLASS ACTION WAIVER.
Tickfills is a self-directed software tool. Tickfills is not a broker-dealer, investment adviser, commodity trading advisor, commodity pool operator, futures commission merchant, or financial planner, and is not registered with the SEC, FINRA, CFTC, NFA, or any other securities or commodities regulator. We do not provide, and nothing in the Services constitutes, investment advice, trading advice, tax advice, legal advice, or a recommendation or solicitation to buy, sell, or hold any security, option, future, or other instrument.
No fiduciary, advisory, or agency relationship is created between you and Tickfills by your use of the Services, other than the narrow, revocable authorization to transmit order instructions described in Section 6. The availability of any trader, strategy, data point, or feature on the platform is not an endorsement or recommendation. Every trading decision made through the Services — including the decision to follow a trader, enable a strategy, or leave automation running — is yours alone. Consult a qualified financial professional before trading.
You must be at least 18 years old, able to form a binding contract, and the lawful holder of any brokerage or trading account you connect. The Services are designed for, and directed to, residents of the United States and Canada. If you access the Services from anywhere else, you may do so only where it is lawful, you are solely responsible for compliance with your local laws, and you acknowledge that the Services are not directed at your jurisdiction. We may restrict, refuse, or terminate access from any jurisdiction at any time. You are responsible for all taxes and regulatory obligations that apply to your trading.
You must register with accurate information and keep it current. You are responsible for safeguarding your credentials and for all activity under your account, and you agree to notify us immediately of any unauthorized access. Accounts are personal to you: you may not share, sell, or transfer an account, and you may not operate an account on behalf of another person.
Tickfills connects to supported brokerages through official OAuth APIs (via SnapTrade or the brokerage directly). We never see or store your brokerage username or password. By linking an account you authorize Tickfills to read positions, balances, and execution data, and to submit order instructions as described in Section 6. You may revoke the connection at any time through your brokerage or the Tickfills app. Tickfills is not a party to, and has no responsibility under, your agreement with any brokerage.
By enabling replication or an automated strategy, you grant Tickfills a limited, revocable authorization to generate and transmit order instructions to your connected account, strictly according to the traders you chose to follow, the strategies you activated, and the risk limits you configured. This authorization exists solely to operate features you have turned on; it is not discretionary authority, and Tickfills exercises no judgment about whether any given trade is suitable for you. You may revoke it at any time by disabling the feature, disconnecting the account, or closing your Tickfills account. Revoking authorization or cancelling your subscription does not close positions already open in your account — managing and closing your positions is always your responsibility.
Market-data providers require every user to certify whether they are a "professional" or "non-professional" subscriber, and bill accordingly. You agree to answer the market-data status questions truthfully, to update your answers in Settings promptly if your status changes, and to be responsible for any fees, charges, or penalties that result from an inaccurate certification. Market data is provided "as is," may be delayed or inaccurate, is for your personal use within the Services only, and may not be redistributed, resold, or used to operate another service.
Horizon is a tool that turns your instructions into an executable strategy. You acknowledge and agree that:
Options trading involves substantial risk of loss and is not suitable for all investors. Use of the Services is conditioned on your acceptance of the Risk Disclosure, which describes these risks in detail — including total loss of premium, leverage, execution and slippage differences, technology failures, and automated-strategy risks. Never trade with money you cannot afford to lose.
Tickfills provides configurable risk tools — position size caps, daily loss limits, per-trader allocation, kill switches. We make commercially reasonable efforts to enforce your settings, but no software control is guaranteed. Outages, API failures, gaps, fast markets, and correlated positions across traders or strategies can all produce outcomes beyond your configured limits. Configuring appropriate limits, and monitoring your account, is your responsibility.
Traders on the platform are independent users. They are not employees, agents, contractors, or representatives of Tickfills, and Tickfills does not compensate Traders for their trading activity or for being followed. Displayed statistics (win rates, P&L, drawdown and similar) are calculated from available historical data on a best-effort basis and are not guaranteed to be complete or accurate; your results as a Follower will differ due to timing, fills, sizing, and fees. Screenshots, testimonials, and community posts reflect individual experiences, are not typical results, and are not promises of performance.
Tickfills may in the future allow a Trader to charge Followers for access to their trades or content. If enabled: any such fee is an arrangement between the Follower and that Trader; Tickfills acts only as the technology and payment-processing intermediary; a paying relationship does not make the Trader an adviser to anyone or an agent of Tickfills; and all other provisions of these Terms — including Sections 1, 9, and 11 — continue to apply in full.
Paid plans, prices, billing cycles, and our refund policy are described on the Subscription & Billing page, which is part of these Terms. In summary: payment is required before access to paid features; subscriptions renew automatically until cancelled; all payments are final and non-refundable; and cancelling stops future renewals while access continues through the period already paid. A "lifetime" purchase means access for as long as Tickfills commercially offers the applicable service, not a guarantee that the service will exist forever. Prices may change with notice as described in the billing terms. You are responsible for any applicable taxes.

The Services — including software, design, text, graphics, logos, and data compilations — are owned by Tickfills LLC or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal, non-commercial use in accordance with these Terms. "Tickfills," "Horizon," and associated logos are trademarks of Tickfills LLC. If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without obligation to you.
The Services depend on third parties we do not control — brokerages, SnapTrade, market-data providers, Stripe (payments), Apple (App Store), Discord, and cloud infrastructure. Their services are governed by their own terms, and we are not responsible for their acts, omissions, outages, API changes, or policies, or for losses they cause.
You may stop using the Services and close your account at any time. We may suspend or terminate your access at any time, with or without notice, including for violation of these Terms, suspected fraud or unlawful activity, an inaccurate market-data certification, risk or security concerns, or as required by law or by our providers. Upon any termination: your order-transmission authorization ends; amounts already paid remain non-refundable; open positions in your brokerage account remain yours alone to manage; and Sections 1, 9, 11, and 15 through 25 survive.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OR ERROR-FREE OPERATION. We do not warrant that any trade will be transmitted, executed, or executed at any particular price; that any data is accurate or timely; that any strategy, trader, or feature will be profitable; or that the Services will meet your requirements. No oral or written information obtained from Tickfills creates any warranty.
You knowingly and voluntarily assume all risks of trading through the Services. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TICKFILLS IS NOT LIABLE FOR ANY TRADING LOSSES, LOST PROFITS, OR LOSS OF INVESTED CAPITAL, HOWEVER CAUSED — including losses arising from replicated trades, automated strategies, data inaccuracies, delays, outages, missed or duplicated orders, risk-limit failures, or the acts of other users or third parties. To the extent you release claims under this section, you waive the protection of any law that would limit a release to claims known at the time of agreement.
To the maximum extent permitted by law, Tickfills and its members, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, data, or goodwill, arising from or relating to the Services, regardless of the theory of liability and even if advised of the possibility. Our total aggregate liability for all claims shall not exceed the greater of one hundred U.S. dollars ($100) or the amounts you paid to Tickfills in the twelve (12) months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations; in those jurisdictions, these limitations apply to the fullest extent permitted.
You agree to indemnify, defend, and hold harmless Tickfills LLC and its members, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from or relating to: your use of the Services; your trading activity and its outcomes; your violation of these Terms or of any law or regulation; your inaccurate market-data certification; your violation of a brokerage's terms; or your infringement of any third party's rights.
Informal resolution first. Before filing any claim, you agree to email info@tickfills.com a written description of the dispute and give us thirty (30) days to resolve it informally.
Binding individual arbitration. Except as provided below, any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will be conducted by a single arbitrator, in English, and may proceed by videoconference or, if an in-person hearing is required, in the county where you reside or another mutually agreed location. Judgment on the award may be entered in any court of competent jurisdiction.
CLASS ACTION WAIVER. ALL DISPUTES MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY ONLY — NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING — AND THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OR PRESIDE OVER ANY REPRESENTATIVE PROCEEDING. YOU AND TICKFILLS EACH WAIVE THE RIGHT TO A TRIAL BY JURY. If the class action waiver is found unenforceable as to a particular claim, that claim (and only that claim) shall proceed in court, and the remainder shall be arbitrated.
Carve-outs. Either party may bring an individual claim in small-claims court, and either party may seek injunctive relief in court for infringement or misuse of intellectual property or unauthorized access to the Services.
30-day opt-out. You may opt out of this arbitration agreement and class action waiver by emailing info@tickfills.com within thirty (30) days of first accepting these Terms, stating your name, account email, and that you opt out of arbitration. Opting out does not affect any other provision of these Terms.
Time limit. To the extent permitted by law, any claim must be filed within one (1) year after it arises, or it is permanently barred.
These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-law rules. For any matter not subject to arbitration, you and Tickfills consent to the exclusive jurisdiction of the state and federal courts located in Michigan.
You consent to receive notices, disclosures, and communications from us electronically — by email to your registered address or through the Services — and agree that they satisfy any requirement that a communication be in writing.
These Terms, together with the documents incorporated by reference, are the entire agreement between you and Tickfills regarding the Services. If any provision is found unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delay or failure caused by events beyond our reasonable control. Section headings are for convenience only.
We may modify these Terms from time to time. For material changes we will provide notice by email or through the Services before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance. If you do not agree to a change, stop using the Services and cancel your subscription.
